买卖双方经协商同意按下列条款成交：
The undersigned Seller and Buyer have agreed to close the following transactions according to the terms and conditions set forth as below：
2．唛头： 买方指定。
Marks：To be effected by the Buyer.
3．包装：裸装。 Packing：Naked
4．支付方式：买方须于合同签定后 周内,将100%货值通过电汇的方式给卖方或将100%保兑的不可撤消的即期付款信用证开到卖方，该信用证的有效期延至装运期后30 天在中国包头到期，信用证内容须严格符合本售货合同的规定,否则修改信用证的费用由买方承担,卖方并不负因修改信用证而延误装运的责任。
Terms of payment：The buyer must remit the 100% of goods value to seller via T/T or confirmed, Irrevocable 100% L/C at sight of the total FOB amount(One million nine hundred and fifty nine thousand four hundred US dollars ONLY)to reach the seller within one week after the date of the contract and to remain valid for negotiation in Baotou China until 30 days after the Time of Shipment. The contents of the covering L/C should be in strict conformity with the terms and conditions of the Sales Contract. In case of any variation thereof necessitating amendment of the L/C, The buyer should bear the expenses for effecting the amendment. The seller should not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C.
5．汇率：该合同的计价货币为人民币；支付货币为美元。锁定汇率为合同签订日当天的汇率（2008年3月29日中国银行外汇基准价：1美元=7.0137人民币），付款时，该汇率如有变动，则按比例调整合同价格，除非另有协议。
Exchange rate: Under the contract the currency used for price calculation is RMB; the currency for
settlement is USD. The fixed foreign exchange rate is the rate of contract sign date (Bank of China average rate on Mar. 29th, 2008: 1 USD= 7.0137 RMB), if the exchange rate occurred fluctuation on the pay day, both parties should modify the contract price according to the exchange rate balance unless there is another agreement.
6．交货时间：卖方在收到由买方出具的不可撤消的、保兑的、即期信用证后，天 内，将货运至天津港口买方的指定地点。(可分批装运)
Time of Delivery：Within 25 days after the seller receipt of Irrevocable and confirmed L/C at sight which was supplied by the buyer, delivery to Tianjin port, china.（Partial shipment is allowed）

8．合同有效期：自合同签订之日起5个月内。若延期执行，双方应付任何一方货款5%的赔偿金。 Period of validity: 5months after the date of contract. The both parties should refund 5% of the goods value
as compensation to the party which suffers loss caused by the delay of the contract.
9．索赔：买方对合同项下装运货物的任何索赔必须于货物到达目的港后30天内提出并必须提供经卖方同意的检验机构出具的检验报告供卖方审核。在任何情况下卖方对间接损失不承担赔偿责任，属于保险公司、船公司、运输机构和/或邮局责任范围内的索赔卖方不予受理。
Claim：Any claim by the Buyer concerning the goods shipped hereunder shall be filed within 30 days after the arrival of the goods at the port of destination and supported by a survey report issued by a survey or approved by the Seller for the Seller’s examination. In no event shall the Seller be liable for indirect or consequential damages. Claims in respect of matters within the scope of responsibility of the insurance company, shipping company, transportation organization and/or post office will not be entertained by the Seller.
10．不可抗力：由于发生人力不可抗拒的原因，致使本合约不能履行，部分或全部商品延误交货，卖方概不负责，但应立即通知买方。本合同所指的不可抗拒力系指不可干预、不能避免且不能克服的客观情况。
Force Majeure：The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur, and the Seller shall notify the Buyer as soon as possible. Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions.
11．仲 裁：凡因本合同引起的或本合同有关的任何争议，如果协商不能解决，应提交中国国际经济贸易仲裁委员会内蒙分会。按照申请仲裁时该会当时实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方具有约束力。
Arbitration：Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached, the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC), Inner Mongolia Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

采用能适用长途空运以及气候变化，并能很好的防止野蛮装卸，防潮，防雨水侵蚀，防腐蚀，防震，防冻裂和防锈的坚固的木箱和纸箱进行包装，卖方应对包装不良以及未采取适当，正确的包装而造成的货物损坏和产生的费用承担全部的责任，箱内需包含一套完整的技术资料。 货物的包装应包括出口国家或地区政府植物检疫机构认可的企业按照中国出入境检验检疫局确认的检疫除害处理的方法，并加施政府植物检疫机构批准的IPPC标识。
由于没有熏蒸处理和木包装上无IPPC标识而造成的损失和后果，由卖方自行承担。
PACKING:TO be packed in new strong wooden cases/cartons, suitable for long distance air transportation and for the change of climate, well protected against rough handling, moisture, rain, corrosion, shocks ,rust, and freezing, and any damage attributable to inadequate or improper protective measures taken by the seller in regard to the packing. One full set of technical documents shall be enclosed in the cases.
All wooden material of shipping package must be treated as the requirements of Entry-Exit inspection and Quarantine Bureau of China, by the agent whom is certified by the government where the goods is exported. And the goods must be marked with the IPPC stamps, which are certified by the government agent of Botanical-Inspection and Quarantine Bureau.
All the losses and results caused by not heat-treated and no IPPC marks in the wooden packages shall be bome by the seller. 4 装箱标记
卖方应在每个包装箱上用不褪色的颜料标明包装箱号，毛重，净重，尺寸，以及下列字样“注意防潮”，“轻拿轻放”此边在上“等，并标明下列装运标记。

INSURANCE: To be covered by the seller for 110% invoice value against All Risk and War Rist. 9出口许可：客户需要在合同签订后三十天内完成填好美国商务部的BIS-711表格和生产商要求的最终用户声明表格。生产商是不会对由于未能遵守美国出口调理而引起的任何耽搁，延误交货负责。卖方收到相关部门出具的出口许可证或者工厂出具的不需要出口许可这个的声明后，会即时通知买方。 Export issue：End-User will provide within 30days of contract date a completed US Department of Commerce Form BIS-711 and xx Statement of End-Use and End-User Certificate and End-User Certificate. The Seller shall present one copy of an export license issued by the U.S.A authorities or a statement, based on completed BIS-711 and xx Statement of End-Use and End-user Certificate and other information provided by the Buyer, that it is thrir belief that an export license is not required within 30days after the contract signed.
10 支付：使用信用证
? 买方在签订合同后30日内通过银行开具以卖方为受益人，金额为合同总价的不可撤销
的信用证。
? 该信用证需指明允许分批发货，买方同意根据实际发货金额支付货款。
? 买方每次支付金额为当批装运货物价款的80%，卖方凭汇票以及本合同第11.1条所规
定的单据到银行议付
? 信用证在最后一次装运后90天内有效

13装运通知：卖方应在货物装运后72小时之内，用传真以及电话通知买方运输部门有关合同号，货物名称，数量，金额，包装件数，毛重，尺寸以及预计到达目的地的日期。
SHIPPING ADVICE: The seller shall within 72 hours after the shipment of the goods, advise the shipping department of buyers by fax of Contract No., goods name ,quantity, value, number of packages, gross weight, measurements and the estimated arrival time of the goods at the destination.

This Contract is made out in three originals in both Chinese and English, each language being legally of the equal effect. Agency Agreement
本协议于2012年2月9日在巴基斯坦由有关双方在平等互利基础上达成，按双方同意的下列条件发展业务关系。
This Agreement is made and entered into by and between the parties concerned on February 9th, 2012 in Lahore on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

2. 委任 Appointment
在本协议签定后，甲方认可乙方在条款4所指的指定代理区域内的独家代理的身份， 并给予其对条款3中提及的甲方的产品进行推广的权限。乙方接受甲方的委任。
Party A hereby appoints Party B as its Exclusive Agent in the authorized territory to solicit orders for commodity stipulate in Article 3 from customers in the territory stipulated in Article 4, and Party B accepts and assumes such appointment.
3. 代理商品 Commodity
甲方指定生产Wootel全系列产品。
Party A appoints whole series of Wootel products.
4. 代理区域 Territory
仅限于 拉合尔 In Lahore, only.
5. 最低业务量 Minimum Turnover
乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的Wootel产品的订单数 量从协议签订期起前6个月不低于_______台/月，6个月之后每月订单数量不低于_______台/月，产品销售价格按照甲方指定售价不得低于甲方要求价格，否则甲方有权单方面取消本协议并对由此给甲方带来的损失要求乙方进行赔偿或者在其代理区域增加新的代理。Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement. 6. 付款方式 Term of Payment
甲方要求乙方所代理产品全部款到发货，如有OEM 或ODM 要求需先预支付30%的 定金，剩余70% 货款在工厂验货后，甲方发货前由乙方一次性结清。
Payment should be made in advance before each individual delivery. If requirement for OEM or ODM then 30% payment in advance is required, the rest 70% payment should be done after examining finish goods in factory, but before delivery.
7. 交货周期 Delivery Time
由双方协定制定日期内甲方将乙方所需求货物安排到乙方指定地点，如遇不可抗力因 素，需双方共同沟通解决问题。
Party A should delivery good to specific place appointed by Party B. If any event of force majeure happen that result the delivery cannot be finished, Party A and Party should negotiate to solve it together.
8. 商情报告 Market Report
为使甲方充分了解现行市场情况，乙方承担至少每周一次或在必要时随时向甲方提供 市场报告，内容包括与本协议代理商品的进口与销售，有关的地方规章的变动、当地市场发展趋势以及买方对甲方按照协议供应的产品的品质、包装、价格等方面的意见。 In order to keep party A well informed of the prevailing market conditions, Party B should undertake to supply Party A at least once a well or at any time when necessary, with market report concerning by this agreement, local market tendency and the buyer’s comments on quality, package, price. etc.. of the goods supplied by Party A under this agreement.
9. 市场与售后支持 Advertising and Expenses
乙方承担本协议有效期内在代理区域内销售代理商品做广告宣传前期费用，并向甲方 提供所用于广告的声像资料，供甲方事先核准。
During the validity of this agreement, Party B should bear the cost the prophase advertising for the related goods in the authorized territory. All the video materials used for advertisement should be offered to Party A to check in advance.
10. 工业产权 Industrial Property Right
在本协议有效期内，为销售有关手机，乙方可以使用甲方拥有的商标，并承认使用于或 包含于手机中的任何商标专利、版权或其他工业产权为甲方独家拥有。一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。
Party B may use the trade-marks owned by Party A for the sale of the mobile phones covered. Herein within the validity of this agreement, and shall acknowledge that all
patens, trade-marks copy right or any other industrial property rights used or embodied in the mobile phones shall remain to be the sole properties of Party A. Once any
infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter’s right.
11. 协议有效期 Validity of Agreement
本协议经有关双方如期签署后生效，有效期为1年，从2012年2月9日至2013年2月9日，除非做出相关通知，本协议期满后将延长1个月。
This agreement, when duly signed by the both parties concerned shall remain effect for from February 9th, 2012 to December 29th, 2013, and it shall be extended for another 1 month upon expiration unless notice in writing is given to the contrary.
12. 协议的终止 Termination
在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。
During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.
13. 不可抗力 Force Majeure
由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事 件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是受不可抗力事件影响的一方需尽快将发生的事情通知另一方，并在不可抗力事件发生的15天内将有关机构出具的不可抗力事件的证明寄交对方。
Either party shall not be responsible for failure or delay to perform all or any party of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted controlled, avoided, or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its
occurrence in writing as soon as possible and thereafter sends a certificate of the even issued by the relevant authorities to the other party within 15 days after its occurrence.
14. 仲裁 Arbitration
因履行本协议所发生的一切争议应通过友好协商解决。如协议不能解决争议，应将争议 提交中国国际经济贸易仲裁委员会华南分会，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。
All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission, South China Sub – Commission and the rules of this Commission shall be applied. The arbitral award shall be final and binding upon both parties.
